The specific scope, deliverables, and terms of each engagement are agreed upon in individual client proposals and service agreements.

Payment Terms
Payment terms for our services are as agreed in individual service proposals and agreements. Unless otherwise specified, invoices are payable within 14 days of the invoice date.
Late payments may incur interest at a rate of 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to suspend the provision of services where payments remain overdue.
Limitation of Liability
ZeroPoint Marketing exercises reasonable care and skill in the provision of its services. To the fullest extent permitted by law, we shall not be liable for:
- Any indirect or consequential losses
- Loss of profit, revenue, or anticipated savings
- Loss of data or data corruption
- Actions or omissions of third parties
- Circumstances beyond our reasonable control
Our total aggregate liability in connection with any service shall not exceed the total fees paid to us in the 12 months preceding the event giving rise to the claim. Nothing in these terms shall exclude or limit our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This obligation of confidentiality does not apply to information that:
- Is or becomes publicly available through no fault of the receiving party
- Was independently developed by the receiving party without reference to confidential information
- Is required to be disclosed by law, regulation, or court order
Termination
Either party may terminate ongoing services by providing 30 days' written notice to the other party. ZeroPoint Marketing may terminate services immediately in the event of a material breach of these terms or any applicable service agreement.
Upon termination:
- All outstanding fees and charges become immediately due and payable
- Client materials and data will be returned or made available to the client
- All proprietary materials belonging to ZeroPoint Marketing must be returned or destroyed
